1. Introduction

This Policy, Terms of Service, and Legal Governance Document ("Policy") governs the use of services, employment engagement, partnerships, and digital platforms operated by EyeRexUs.

By engaging with EyeRexUs, whether as a client, employee, partner, consultant, contractor, or user of any EyeRexUs product or service, you agree to comply with and be legally bound by the terms set forth in this Policy.

2. Jurisdiction & Governing Law

All policies, agreements, employment contracts, partnerships, digital services, and business transactions of EyeRexUs shall be governed by and interpreted in accordance with the laws of Uttar Pradesh, India.

This jurisdiction clause applies to: Clients, Employees, Remote employees, Contractors, Consultants, Partners, Investors, Users of AI systems, Users of digital platforms.

3. Policy Modification Rights

EyeRexUs reserves the absolute right to modify, update, amend, or revise its policies, rules, employment terms, service conditions, pricing structures, AI usage policies, and operational guidelines at any time without prior notice. Updated policies shall become effective immediately upon publication or official communication.

4. Employee Policy – EyeRexUs

4.1 Employment Terms

All employees must comply with company policies, internal governance rules, NDA agreements, and professional conduct standards.

4.2 Confidentiality & NDA

Unauthorized disclosure of confidential information, client data, source codes, proprietary systems, AI models, API structures, financial data, or internal documentation shall result in immediate termination and may attract civil and criminal liability under applicable Indian laws, including the Information Technology Act, 2000.

4.3 Misconduct & Termination

Zero-tolerance policy for: fraud, data theft, intellectual property misuse, misrepresentation, harassment, cyber misconduct, financial manipulation, breach of contract.

5. Client Policy – EyeRexUs

5.1 Service Engagement

By engaging with EyeRexUs services, clients agree to: provide accurate information; comply with applicable laws; use services for lawful purposes only; not misuse or reverse engineer EyeRexUs systems.

5.2 Payment & Deliverables

All payments must be made according to mutually agreed contractual terms. Deliverables shall be governed by signed agreements, scope documents, and milestone approvals.

6. AI Usage Policy – EyeRexUs

6.1 Use of Data for AI Enhancement

If you use any EyeRexUs AI Agent, AI system, API integration, or automation platform, you agree that EyeRexUs may use submitted data, anonymized operational inputs, system behavior metrics, and performance analytics to improve, train, enhance, and optimize the EyeRexUs AI systems.

6.2 Opt-Out Provision

If a client does not wish EyeRexUs to use their data for AI training, the client must provide a prior written request through a legally signed document before service activation.

7. Limitation of Liability

EyeRexUs shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of services, except as required under applicable law. Maximum liability, if applicable, shall be limited to the amount paid for services under the specific agreement.

8. Intellectual Property

All intellectual property, including but not limited to: source codes, AI models, APIs, system architecture, branding, documentation – shall remain the property of EyeRexUs unless explicitly transferred in writing. Unauthorized use shall result in legal action.

9. Acceptance of Terms

By becoming an employee, signing a contract, using EyeRexUs digital platforms, integrating EyeRexUs APIs, accessing EyeRexUs AI systems, or engaging in partnership with EyeRexUs, you acknowledge that you have read, understood, and agreed to the policies and terms of EyeRexUs.
